Terms of Service

1. ACCOUNT REGISTRATION

To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.

2. CONTENT

2.1. You retain all ownership rights to the beats and related content you upload to Beatzip. By uploading content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Service and our business.

2.2. You represent and warrant that you own the content uploaded by you on or through the Service or otherwise have the right to grant the rights and licenses set forth in these Terms.

2.3. You agree not to upload any content that violates or infringes anyone's intellectual property rights or any other rights.

2.4. You agree not to upload any content that is unlawful, obscene, harmful, threatening, defamatory, invasive of another's privacy, or otherwise objectionable. You understand and agree that we reserve the right to review, reject, delete, remove, modify, or edit any content at our sole discretion.

3. PURCHASES

If you wish to purchase any beats or services made available through the Service, you may be asked to supply certain information relevant to your purchase. All purchases are final and non-refundable, except at our sole discretion. You represent and warrant that: (i) you have the legal right to use any payment method(s) in connection with any purchase; and that (ii) the information you supply to us is true, correct, and complete.

4. TERMINATION

We may terminate or suspend your access to the Service at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your account.

5. CHANGES TO TERMS

We reserve the right to modify these Terms at any time in accordance with this provision. If we make changes to these Terms, we will post the revised Terms on the Service and update the "Last Updated" date at the top of these Terms.

We will also provide you with notice of the modifications by email at least thirty (30) days before the date they become effective. If you disagree with the revised Terms, you may terminate this Agreement with immediate effect. We will inform you about your right to terminate the Agreement in the notification email. If you do not terminate your Agreement before the date the revised Terms become effective, your continued access to or use of the Service will constitute acceptance of the revised Terms.

6. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

8. LIMITATION OF LIABILITY

8.1. To the maximum extent permitted by law, in no event shall beatzip llc, its directors, members, employees or agents be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use the services, the content or the materials, including without limitation any damages caused by or resulting from reliance by user on any information obtained from beatzip llc, or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to beatzip llc's records, programs or services.

8.2. in no event shall the aggregate liability of beatzip llc, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of or inability to use the services or to these terms exceed any compensation you pay, if any, to beatzip llc for access to or use of the services.

9. MEMBERSHIP

9.1. Auto-Renewal of Membership: Certain Beatzip LLC membership plans include an auto-renewal feature. This means that unless you cancel your membership before the end of the applicable membership period, it will automatically renew, and you authorize us to use any payment method we have on record for you to collect the then-applicable membership fee (as well as any taxes).

9.2. Cancellation of Membership: You can cancel your Beatzip LLC membership at any time, and you will continue to have access to your membership benefits until the end of your current membership period. To cancel, go to the "Account" page on our website and follow the instructions for cancellation. If you cancel your membership before the end of the current membership period, we will not refund any membership fees already paid up to the date of cancellation.
